These Terms of Service (“Terms”) govern your access to and use of the digital banking services, websites, applications, and related platforms operated by Meridian Bank (the “Bank”, “we”, “us”, or “our”). By opening an account, registering, logging in, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, you must not use the services.
1. About the Bank and these Terms
Meridian Bank provides digital account services, payment and transfer facilities, account information tools, statements, support channels, and related features as made available from time to time (collectively, the “Services”). These Terms form a legally binding agreement between you and the Bank. Additional product terms, fee schedules, privacy notices, and operational policies may apply and, where stated, form part of your overall relationship with us.
We may update these Terms to reflect legal, regulatory, security, or product changes. Material updates will be indicated by a revised effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms, except where applicable law requires a different process.
2. Eligibility and account opening
You must be legally capable of entering into binding contracts under the laws that apply to you. You represent that the information you provide during registration and thereafter is accurate, complete, and current. You must promptly update your profile when personal or contact details change.
Account opening is subject to our internal acceptance criteria, identity and verification procedures, and ongoing monitoring. We may refuse, delay, limit, or condition the opening or continued operation of an account where required by law, risk policy, or operational integrity. Approval of an application does not guarantee access to every product or corridor.
You may only hold and use an account for lawful purposes and in accordance with these Terms. Accounts are personal to the named account holder unless we expressly agree otherwise in writing.
3. Your responsibilities
You are responsible for safeguarding login credentials, devices used to access the Services, and any transaction authorisation method we provide (including any personal identification number or equivalent control). You must not share credentials with third parties. Notify us without undue delay if you suspect unauthorised access, credential compromise, or fraudulent activity.
You agree to use the Services only as permitted by law and these Terms. You must not attempt to interfere with the security, availability, or integrity of the Services; probe or reverse-engineer systems except as permitted by mandatory law; or use the Services to facilitate money laundering, sanctions evasion, fraud, or other unlawful activity.
You are responsible for reviewing transaction history, statements, and notifications we make available. Questions about entries should be raised promptly through official support channels.
4. Account operation and instructions
We may process instructions that appear to originate from you through authenticated channels. You authorise us to rely on such instructions. We may decline, delay, or reverse instructions where we reasonably believe there is a security risk, insufficient funds, legal restriction, technical failure, or inconsistency with your account profile or our policies.
Balances, available funds, and status indicators are provided for informational purposes and may be subject to pending items, holds, adjustments, or reconciliation. Cut-off times, processing windows, and correspondent bank practices may affect when funds become available to a recipient.
We may apply account restrictions, including limits on outbound transfers, where required for risk management, legal compliance, or investigation. Where practicable and lawful, we will communicate the nature of material restrictions and the channel for further information.
5. Transfers and payments
Outbound transfers and other payment instructions are subject to validation, available balance, authorisation controls, and any corridor-specific rules. You are responsible for the accuracy of recipient details you provide. Incorrect details may result in delay, loss, or misdirection for which we are not responsible except to the extent required by mandatory law.
We do not guarantee that a third-party institution will accept, process, or time a payment in a particular way. Charges imposed by intermediary or beneficiary institutions are outside our control unless expressly stated otherwise.
Certain payment types may be simulated, staged, or limited in early product phases. Features labelled as forthcoming are not contractual commitments until formally made available under published terms.
6. Fees and charges
Fees, if any, will be disclosed in applicable schedules or within the product interface before you confirm a chargeable action. We may update fee structures with reasonable notice where required. You authorise us to debit your account for agreed fees and for amounts you instruct us to pay.
7. Statements, records, and communications
We may provide statements, activity lists, and notices electronically through the Services or via the contact details associated with your account. You are responsible for maintaining a valid email address and for reviewing communications. Electronic notices are deemed received when made available, subject to mandatory consumer rules that may apply in your jurisdiction.
Our records of transactions, login events, and instructions are, in the absence of manifest error, evidence of the matters they record.
8. Security and prohibited use
You must take reasonable steps to protect devices and access methods. We may require additional verification, force credential resets, terminate sessions, or suspend access where we detect anomalous activity or material risk.
Prohibited use includes, without limitation: using the Services for illegal activity; attempting to circumvent controls; submitting false information; harassing staff or other users; or scraping or bulk-extracting data without authorisation.
9. Suspension, restriction, and closure
We may suspend, restrict, or close accounts or features where required by law, court order, or regulatory expectation; where we reasonably suspect fraud or abuse; where you breach these Terms; or where continued operation would pose unacceptable risk to the Bank, other clients, or the financial system.
You may request account closure through supported channels, subject to settlement of outstanding obligations, completion of pending transactions, and any legal holds. Closure does not affect rights or obligations that by their nature should survive, including residual liability for prior instructions.
10. Intellectual property
The Services, including software, design, branding, documentation, and content (excluding your personal data and lawful account content), are owned by the Bank or its licensors. You receive a limited, non-exclusive, non-transferable right to access the Services for personal lawful use in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from our materials except as expressly permitted.
11. Third-party services
The Services may interoperate with or link to third-party systems. We are not responsible for third-party content, availability, or practices except to the extent required by law. Your use of third-party services may be subject to separate terms.
12. Disclaimers
The Services are provided with reasonable skill and care. Except as required by mandatory law, we do not warrant uninterrupted or error-free operation, nor that the Services will meet every particular expectation beyond what we expressly commit to in writing. Information on marketing pages is illustrative and does not constitute advice or a guarantee of future features.
13. Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud. Subject to the foregoing, we are not liable for indirect, consequential, or speculative losses; losses arising from inaccurate instructions you provide; failures of third-party institutions or networks; or events beyond our reasonable control.
Where liability is limited by law, our aggregate liability arising out of or relating to the Services in any twelve-month period shall not exceed the greater of (a) fees you paid us for the Services in that period, or (b) a minimum amount required by mandatory law, if any.
14. Indemnity
You agree to indemnify and hold harmless the Bank and its officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Services, or your infringement of third-party rights, except to the extent caused by our wilful misconduct or as prohibited by law.
15. Privacy
Processing of personal data is described in our Privacy Policy, which forms part of your relationship with us. By using the Services you acknowledge that processing as described is necessary to operate accounts and meet legal obligations.
16. Governing law and disputes
These Terms are governed by the laws applicable to the Bank’s principal place of business, without prejudice to mandatory consumer protections that apply in your country of residence. Courts of competent jurisdiction shall have exclusive jurisdiction over disputes, subject to any non-waivable rights you may have to bring claims in your local courts.
Before formal proceedings, you agree to attempt to resolve disputes by contacting us at support@meridianbank.online and allowing a reasonable period for response.
17. General
If any provision of these Terms is held unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate reorganisation or transfer of services. These Terms constitute the entire agreement regarding the Services, superseding prior inconsistent understandings on the same subject, except for product-specific agreements that expressly prevail.
